PUBLIC OFFER
(Online Sales Agreement)
Effective date: April 9, 2026
1. General Provisions
1.1. This document constitutes an official public offer (the “Offer”) of LIMITED LIABILITY COMPANY “ESSENTIAL MATERIALS”, EDRPOU code 45593047, to conclude a sales agreement for goods via the online store
https://www.e-materials.com.ua/.
1.2. The terms of this Offer are binding for all users of the website.
1.3. Placing an order on the website constitutes acceptance of this Offer.
2. Terms and Definitions
– Seller — LLC “ESSENTIAL MATERIALS”, which sells goods offered on the website https://www.e-materials.com.ua/.
– Buyer — a legally capable individual who has reached the age of 18 and uses the website to purchase goods for purposes not related to business activities, or a legal entity or sole proprietor.
– Online Store — https://www.e-materials.com.ua/, which contains a product catalog intended for concluding retail and wholesale purchase agreements based on the Buyer’s review of product descriptions via the Internet.
– Product — an item selected by the Buyer on the website and placed in the shopping cart, or already purchased remotely from the Seller.
3. Subject of the Agreement
3.1. The Seller undertakes to transfer ownership of the Product to the Buyer, and the Buyer undertakes to accept and pay for it under the terms of this Offer.
3.2. Information about the Products (description, photos, specifications, price) is published on the website and forms an integral part of this Offer.
3.3. The date of conclusion of this Agreement (acceptance of the Offer) is the date on which the Buyer completes the order form on the website, provided that the Buyer receives confirmation of the order from the Seller in electronic form.
At the Buyer’s request, the Agreement may also be executed in written form.
4. Order Placement Procedure
4.1. Orders are placed by the Buyer independently on the website or through a manager. Sales may also be carried out under separately concluded agreements.
4.2. After order confirmation, the Seller informs the Buyer about product availability, delivery сроки and cost.
4.3. The Seller has the right to refuse order fulfillment if the information provided by the Buyer is incomplete or raises doubts about its accuracy.
4.4. When placing an order, the Buyer must provide the following information:
4.4.1. full name;
4.4.2. delivery address (if applicable);
4.4.3. contact phone number;
4.4.4. tax identification number (for legal entities or sole proprietors).
4.5. The name, quantity, SKU and price of the selected Product are indicated in the shopping cart.
4.6. If additional information is required, either Party may request it. Failure to provide necessary information освобождает Seller from liability for proper service execution.
4.7. When ordering via a manager, the Buyer must provide the information specified above.
4.8. Acceptance of the Offer is carried out by entering data into the website form or via an operator. Buyer data is stored in the Seller’s database.
4.9. The Buyer is responsible for the accuracy of the information provided.
4.10. By accepting this Offer, the Buyer confirms that:
a) they fully agree with its terms;
b) they consent to the collection, processing and transfer of personal data for the purpose of fulfilling this Agreement, including settlements and document issuance.
The Buyer also agrees that the Seller may transfer such data to third parties for order fulfillment without additional notice.
5. Price and Payment Terms
5.1. Prices are indicated in UAH and include VAT.
5.2. Prices may be changed unilaterally by the Seller depending on market conditions. However, the price of a paid Product cannot be changed.
5.3. Delivery cost is not included in the Product price and is paid separately according to carrier tariffs.
5.4. Payment methods:
– online (payment system),
– cash on delivery,
– or other agreed methods.
6. Delivery and Acceptance
6.1. Delivery is carried out within Ukraine via courier services or pickup.
6.2. Delivery terms and costs are specified on the website.
6.3. Upon receipt, the Buyer must check the Product (quantity, quality, completeness, expiration date).
6.4. By signing delivery documents, the Buyer confirms no claims regarding quantity or condition.
6.5. Ownership and risk pass to the Buyer upon receipt or transfer to the carrier.
6.6. Risk of accidental loss passes to the Buyer upon transfer to the delivery service.
7. Returns and Exchanges
7.1. Governed by the Law of Ukraine “On Consumer Protection”.
7.2. Goods of proper quality may be returned within 14 days if unused and in original condition.
7.3. Defective goods are subject to replacement or refund.
7.4. Refunds are processed within 10 banking days using the original payment method.
8. Warranties and Product Quality
8.1. The Seller guarantees that all goods are new and of proper quality.
8.2. Manufacturer certificates may be provided upon request.
9. Liability
9.1. The Seller is not liable for damage caused by improper use or storage.
9.2. The Seller is not liable for delays caused by incorrect Buyer data.
9.3. Parties are liable in accordance with Ukrainian law.
9.4. Parties are released from liability in case of force majeure.
9.5. Disputes are resolved through negotiations or court.
10. Confidentiality and Data Protection
10.1. Personal data is processed solely for order fulfillment.
10.2. Details are provided in the Privacy Policy.
11. Force Majeure
11.1. Parties are released from liability in case of extraordinary circumstances beyond control (war, disasters, etc.).
11.2. Force majeure must be confirmed by an official certificate.
11.3. The affected Party must notify the other within 3 days.
11.4. Obligations are suspended during force majeure.
11.5. Payments for unprovided services are not required.
11.6. Termination notice must be given after force majeure ends.
11.7. If force majeure lasts more than 1 month, the Agreement may be terminated.
12. Final Provisions
12.1. The Agreement enters into force upon acceptance.
12.2. The Seller may amend the Offer by publishing a new version.
12.3. Unregulated matters are governed by Ukrainian law.
